ANNUAL TOWN MEETING APRIL 25, 2011
ENERGY PERFORMANCE CONTRACTING AGREEMENT PROCURED UNDER CHAPTER 251 FOR MORE THAN
THREE YEARS
Article 23 To see if the town will vote to raise and appropriate, transfer from available funds or borrow pursuant
to any applicable statute a sum of money for the Canton School Committee to spend for the purpose of
performance based contracting and improvements for energy services at school buildings and facilities throughout
the town pursuant to G. L. Ch. 25 I,or any other applicable statute, or to take any other action related thereto.
Board of Selectmen for the School Committee
MOVED: That the subject matter of Article 23 be indefinitely postponed.
VOTE: 90

DISCUSSION: Finance Committee voted to indefinitely postpone the adoption of Performance Contracting for
replacing the heating system in the Rodman building. The Committee had a number of concerns with the two
options that were presented by the Schools. The "return" that would be realized by the School to replace the
heating system is projected to be greater than 100 years ( The " return" is an important measure when evaluating
performance contracts because it measures the number of years of energy savings that would be needed to pay for
the cost of the project). Since the projected savings do not nearly offset the capital costs, the proposal does not
satisfy the requirements of a Performance Contract. Based on the material presented, the Finance Committee was
not certain that all alternative repair solutions and funding approaches had been completely explored.
Furthermore, there were unanswered questions as to the urgency of the repairs and whether replacing the Boiler
with the funds approved by ATM in 2010, as originally planned, would be a viable stop -gap solution until additional
capital funds became available.
In 2010, the Town approved Debt Capital expenses of $ 130,000 to replace the steam boiler. The School
Department has also determined that the plumbing system that distributes heat in the building is in disrepair and
has a high likelihood of failure. The Schools consider replacing the Rodman heating system a high priority capital
need that is approaching an urgent status. However, the School Department has already leveraged their capital
budget for the next three years to expand the Kennedy. Therefore, they suggested using a Performance
Contracting as a creative way of financing this capital need.
Under a "Performance Contract ", a contractor agrees to make selected capital improvements that have the effect of
reducing the Schools Department' s future utility /energy costs. The contractor provides a guaranty that the future
savings will materialize and the resulting savings are used to pay for the costs of the improvements. Unlike
conventional capital projects which are financed through the Town's five -year capital plan, the cost for Performance
Contracting, are paid outside the five -year capital plan because when you consider the savings these projects are
expected to have no net cost to the Town or the operating budget. To enhance the savings and reduce the
return ", the Schools proposed including other cost saving projects, but these would increase the contract cost by
800,000. The Schools also recommended supplementing the project through their operating budget, which is
already strained. The Finance Committee did not see these modifications to the "Performance Contract" as
desirable options and recommended that other options be explored.

Board of Selectmen for the School Committee
MOVED: That Three Hundred Sixty Four Thousand Dollars ($364,000) be appropriated to be spent by
the School Committee under the direction of the Buildings Renovation Committee for the purpose of
supplementing the appropriation voted pursuant to Article 13 Motion 5 of the 2010 Annual Town

DISCUSSION: In 2010 ATM voted to fund the expansion of the Kennedy School. The original quote did not
reflect changes in the state law which mandated school sprinkler systems. The Finance committee voted to
support the request for the additional $ 364,000 needed for the Kennedy School addition because postponing
installation of required sprinklers would cost more than if the entire project was completed at one time.

DISCUSSION: Article 28 would increase energy conservation / efficiency standards for the residential and
commercial building codes. These changes should reduce energy consumption and would apply to new commercial
construction and to commercial additions from 5, 000 to 100,000 sq. ft. but would not apply to renovations.
Similarly, the stretch energy code would apply to residential projects and additions greater than 2, 000 sq. ft. The

MAJORITY DISCUSSION: The Majority of the Finance Committee supported this motion to extend the
date that all town entities have to report their Year End Reports to the Third Monday in August from the previous
date of the First Monday in August. The Finance Committee feels that this additional time may be required in some
years and sees no detrimental effects due to this change. The Majority of the Finance Committee also supported
changing the date that budget requests must be submitted by the departments to the Third Monday in January
from the previous date of the Second Monday of December. The Majority of the Finance Committee agreed with
the Finance Director that the Department heads should be able to see their actual first and second quarter results
before they are required to submit their budget estimates for the next fiscal year.
MINORITY DISCUSSION: In 1988, the budget requests were forwarded to a 15 member Finance
Committee in mid October. Today the budget requests are forwarded in mid December. This Article will amend
the By -Law to further shrink the time down to about two months that the Finance Committee has to study and take
a position on all Town sponsored and citizen sponsored articles in the warrant, and most importantly, to do its due
diligence and make its best recommendation to the voters on the budget requests from the Town departments.
The minority feels this is inadequate time for this 12 member committee of volunteers.
89—Source page 90
ANNUAL TOWN MEETING APRIL 25, 2011
This change will allow the department heads to see six months of actual expenses instead of four or five months
under the current By l-aw. Department Heads receive reports every month stating exactly how much they are
spending and the exact status of their budget. It is the minority opinion of the Finance Committee that the
additional one or two months of expense reports adds little to the process and that most of the Town's department
budget requests are based on how much money the Department Heads think they will need to operate during the
next year, not how much they spend during the current year.

PROPOSED TAX AMNESTY PROGRAM ( per Chapter 188 S. 68 of Acts of 2010)
Article 31 To see if the town will vote to establish a Municipal Tax Amnesty Program according to the provisions

tax liabilities upon full payment of the outstanding liability by the end of the amnesty period: Tax Title accounts
excluding fiscal year 2011) & Personal Property Taxes owed prior to fiscal year 2011.

DISCUSSION: The Finance Committee unanimously supported this article. The purpose of this article is to
provide a one t- ime, six w
- eek opportunity for those owing back taxes to make full payment of late taxes while
to16 %. This is beneficial to both the
incurring interest penalties of only 7 11o/ to 8 11o/ instead of the customary 14%
Town and the late payer. In the absence of payment, the Town places a lien on the property through the Registry
of Deeds, making it extremely difficult for the owner to sell, and in some cases leading to foreclosure. By offering
this one -time amnesty window, the Town seeks to induce those owing taxes to pay off the back taxes, thereby
enabling the Town to collect revenue owed and to avoid the legal costs associated with the lien and foreclosure
process. In a typical year, of the 8, 000 land parcels that are taxed, fewer than 90 are in arrears at the end of the
fiscal year.

DISCUSSION: The Finance Committee unanimously supports this motion to Amend Article XVI. There are
several issues this change addresses:
1. Adding language about salaries clarifies a process that has historically been used by Canton, allowing the
Capital Planning Committee and departments the flexibility to pay for implementation of capital projects in
the most cost effective manner.
2. Reducing the limit on cash capital allocations allows the Capital Planning Committee and departments the
flexibility to allocate their budgeted cash capital in the most effective manner.
3. Lowering the limit on debt capital allocations allows the Capital Planning Committee and departments the
flexibility to fund capital purchases with the budgeted debt capital in the most effective manner. By
extending the minimum useful life to 5 years for debt capital, the useful lifetime of the asset will be more
in line with the debt service for the item purchased.
4. Requiring the Capital Planning Committee to provide information to the Finance Committee on March 15t
rather than March 15 provides the Finance Committee with adequate time to review the Capital
Requests and render more informed decisions. Currently, the Finance Committee must submit their
recommendations by the second week in March.
5. Adding a deadline for citizen's request gives citizen the same deadline as town departments, allowing
adequate time for the Capital Planning Committee and the Finance Committee to review these requests.

ADOPT NEW PROCEDURES FOR UNCLAIMED CHECKS ( PER Ch. 188 S. 65 of Acts of 2010)
Article 33 To see if the town will vote to accept section 65 of chapter 188 of the Acts of 2010, the text of which
is set forth below, or take any other action related thereto:
CHAPTER 188 of the Acts of 2010, SECTION 65. Chapter 200A of the General Laws is hereby amended by
striking out section 9A, as so appearing, and inserting in place thereof the following section: -
Section 9A. (a)In any city, town or district that accepts this section in the manner provided in section 4 of chapter
4, there shall be an alternative procedure for disposing of abandoned funds held in the custody of the city, town or
district as provided in this section.
95—Source page 96
ANNUAL TOWN MEETING APRIL 25, 2011
b)Any funds held in the custody of a city, town or district may be presumed by the city, town or district treasurer
to be abandoned unless claimed by the corporation, organization, beneficiary or person entitled thereto within 1
year after the date prescribed for payment or delivery; provided, however, that the last instrument intended as
payment shall bear upon its face the statement " void if not cashed within 1 year from date of issue ". After the
expiration of 1 year after the date of issue, the treasurer of a city, town or district may cause the financial
institution upon which the instrument was drawn to stop payment on the instrument or otherwise cause the
financial institution to decline payment on the instrument and any claims made beyond that date shall only be paid
by the city, town or district through the issuance of a new instrument. The city, town or district and the financial
institution shall not be liable for damages, consequential or otherwise, resulting from a refusal to honor an
instrument of a city, town or district submitted for payment more than a year after its issuance.
c)The treasurer of a city, town or district holding funds owed to a corporation, organization, beneficiary or person
entitled thereto that are presumed to be abandoned under this section shall post a notice entitled "Notice of names
of persons appearing to be owners of funds held by (insert city, town or district name), and deemed abandoned ".
The notice shall specify the names of those persons who appear from available information to be entitled to such
funds, shall provide a description of the appropriate method for claiming the funds and shall state a deadline for
those funds to be claimed; provided, however, that the deadline shall not be less than 60 days after the date the
notice was either postmarked or first posted on a website as provided in this section. The treasurer of the city,
town or district may post such notice using either of the following methods: ( 1)by mailing the notice by first class
mail, postage prepaid, to the last known address of the beneficiary or person entitled thereto; or (2)if the city,
town or district maintains an official website, by posting the notice conspicuously on the website for not less than
60 days. If the apparent owner fails to respond within 60 days after the mailing or posting of the notice, the
treasurer shall cause a notice of the check to be published in a newspaper of general circulation, printed in English,
in the county in which the city or town is located.
d)In the event that funds appearing to be owed to a corporation, organization, beneficiary or person is $100 or
more and the deadline as provided in the notice has passed and no claim for the funds has been made, the
treasurer shall cause an additional notice, in substantially the same form as the aforementioned notice, to be
published in a newspaper of general circulation in the county in which the city, town or district is located; provided,
however, that the notice shall provide an extended deadline beyond which funds shall not be claimed and such
deadline shall be at least 1 year from the date of publication of the notice.
e) once the final deadline has passed under subsection ( d), the funds owed to the corporation, organization,
beneficiary or person entitled thereto shall escheat to the city, town or district and the treasurer thereof shall
record the funds as revenue in the General Fund of the city, town or district and the city, town or district shall not
be liable to the corporation, organization, beneficiary or person for payment of those funds or for the underlying
liability for which the funds were originally intended. Upon escheat, the funds shall be available to the city, town or
district's appropriating authority for appropriation for any other public purpose. In addition to the notices required
in this section, the treasurer of the city, town or district may initiate any other notices or communications that are
directed in good faith toward making final disbursement of the funds to the corporation, organization, beneficiary
or person entitled thereto.
Prior to escheat of the funds, the treasurer of the city, town or district shall hear all claims on funds that may arise
and if it is clear, based on a preponderance of the evidence available to the treasurer at the time the claim is
made, that the claimant is entitled to disbursement of the funds, the treasurer shall disburse funds to the claimant
upon receipt by the treasurer of a written indemnification agreement from the claimant wherein the claimant
agrees to hold the city, town or district and the treasurer of the city, town or district harmless in the event it is
later determined that the claimant was not entitled to receipt of the funds. If it is not clear, based on a
preponderance of the evidence before the treasurer at the time of the claim that the claimant is entitled to
disbursement of the funds, the treasurer shall segregate the funds into a separate, interest -bearing account and
shall notify the claimant of such action within 10 days. A claimant affected by this action may appeal within 20
days after receiving notice thereof to the district, municipal or superior court in the county in which the city, town
or district is located. The claimant shall have a trial de novo. A party adversely affected by a decree or order of the
district, municipal or superior court may appeal to the appeals court or the supreme judicial court within 20 days
from the date of the decree.
If the validity of the claim shall be determined in favor of the claimant or another party, the treasurer shall
disburse funds in accordance with the order of the court, including interest accrued. If the validity of the claim is
determined to be not in favor of the claimant or another party or if the treasurer does not receive notice that an
appeal has been filed within 1 year from the date the claimant was notified that funds were being withheld, then
the funds, plus accrued interest, shall escheat to the city, town or district in the manner provided in this section.
96—Source page 97
ANNUAL TOWN MEETING APRIL 25, 2011
If the claimant is domiciled in another state or country and the city, town or district determines that there is no
reasonable assurance that the claimant will actually receive the payment provided for in this section in substantially
full value, the superior court, in its discretion or upon a petition by the city, town or district, may order that the
city, town or district retain the funds.

DISCUSSION: The Finance Committee unanimously supports the adoption of Article 33. By changing the
unclaimed check procedure, Canton will adopt procedures recommended by the state. By reducing the waiting
period from 3 years to 1 year, the town will increase the likelihood of making contact with the entity who is owed
money. If the entity cannot be contacted, the revenue will also come to the town 2 years earlier.

LOCAL OPTION MEALS EXCISE
Article 34 To see if the Town will vote to accept section 2(

Commonwealth to impose an excise tax of .75 11o/ on sales of restaurant meals to take effect on July 1, 2011; or
take any other action related thereto.
Board of Selectmen for the Director of Finance
MOVED: Moved that Section 2( a)of Chapter 64L of the General laws of the Commonwealth as
established by section 60 of chapter 27 of the Acts of 2009, which section 2(a)would impose an excise
tax of .75% on sales of restaurant meals, be accepted by the town to take effect July 1, 2011.
1lrLel9 —35 till
DISCUSSION: The Majority of the Finance Committee supported a motion to accept section 2(
a)chapter 64 L of
the General Laws of the Commonwealth for an excise tax of .75 on sales of restaurant meals. Members of the
majority did not feel that this tax would create an undue burden to the residents of Canton; especially the
members of our community that can least afford to pay additional taxes. The Majority did not believe that this tax
would cause an undue burden to our town's business owners because many of the towns surrounding Canton have
implemented this tax and the small increase in tax would not cause consumers to patronize restaurants outside
Canton. Finally, while members of the Majority recognize that this tax may not create the $274,000 revenue that
was projected by the state, the Majority believed it was important to adopt all options offered by the state to raise
additional revenue to mitigate the reductions in state funding for Canton. The majority believes this will
strengthen the town's position when requesting additional state support and is looked upon favorably by bond
rating agencies.

DISCUSSION: At this time, the Owner of the dam may either repair the damages to the dam due to the Flood of
March 2010 or breach the dam, draining Reservoir Pond. The property owner has indicated they do not want to
continue to invest in this property and if Article 35 fails will likely choose to drain Reservoir Pond. This may reduce
value of the surrounding properties. This Article would allow the Board of Selectmen to negotiate an agreement
whereby the Owner would repair the damage done to the dam at Reservoir Pond. The Owner would then donate
the property as a gift to the Town. The Finance Committee considered the future maintenance cost and the benefit
the Town would receive by maintaining this resource and voted in favor of this article.

It allows the Board of Selectmen to enter into negotiations with the Commonwealth if the decision is made by the
State to dispose of the course. Canton will have the first right of refusal. The Article would permit the Board of
Selectmen the flexibility to negotiate a lease with a management company. An RFP has been drafted based on four
principles: accounting and affordability, maintain and improve the property, improve financial viability and permit
passive activity with an objective to find someone to run the golf course. The Finance Committee recommends a
3y- ear time limit be placed on the Board of Selectmen for executing an agreement with a potential management
company. A possible benefit of this project is a revenue stream for the Town, depending on how the Town decides
to manage the property.
APPROVED DISAPPROVED

DISCUSSION: The Finance Committee unanimously supports Article 38. The Town adopted Chapter 43D
Expedited Permitting at the 2007 ATM. Since that time many parcels have been designated as Priority
Development Sites. By all accounts, the recent Chapter 43D designations have furthered the Town's goals of
attracting new commercial and business developments and increasing revenue for the town. The two properties
being proposed for designation are available, are zoned industrial /commercial and were unanimously supported for
designation by the Economic Development Committee.
APPROVED DISAPPROVED
MASSACHUSETTS COMMUNITY PRESERVATION ACT
Article 39 To see if the Town will accept Sections 3 to 7, inclusive, of Chapter 44B of the General Laws, otherwise
known as the Massachusetts Community Preservation Act, be accepted and that a surcharge on real property for
the purposes permitted by said Act be approved, including the acquisition, creation, and preservation of open
space, the acquisition, rehabilitation, preservation, and restoration of historic resources, the acquisition, creation
and preservation of land for recreational use, the creation, preservation and support of community housing, and
the rehabilitation and restoration of such open space, land for recreational use and community housing that is
acquired or created as provided under said Act; that the amount of such surcharge on real property shall be one
1) percent of the annual real estate tax levy against real property beginning in fiscal year 2012; and to accept the
following exemptions from such surcharge permitted under Section 3(e) of said Act:
1) property owned and occupied as a domicile by a person who would qualify for low income housing or low
or moderate income senior housing in the city or town; and

ANNUAL TOWN MEETING APRIL 25, 2011
DISCUSSION: The Finance Committee recommends that this Article be postponed
indefinitely. The feeling is
that this is not the time to add an additional tax to Canton residents and businesses.
Further, the Economic
Development Committee and the Canton Association of Business and Industry also oppose this Article.
APPROVED DISAPPROVED
ACCEPT GENERAL OR SESSION LAWS ENACTED BY THE GENERAL COURT
Article 40 To see if the town will vote to accept any general or session laws enacted by the General Court for the
benefit of cities or towns or of benefit to the Town of Canton, or to take any other action related thereto.
Board of Selectmen
MOVED: That the subject matter of Article 40 be indefinitely postponed.
VOTE: 70
- 0
-
DISCUSSION: As has been the practice at previous Town Meetings, this Article was placed on the warrant in
anticipation of legislation that may be in the General Court ( Legislature) and that could benefit the Town of Canton.
This Article allows the Town to support or reject, at Town Meeting, any legislation that emerges from the General
Court prior to Town Meeting. At this time, there are no new laws to approve.
APPROVED DISAPPROVED

VOTE TO RESCIND UNUSED BORROWING AUTHORIZATIONS
Article 42 To see if the town will vote to rescind unused borrowing authorizations previously voted by the
town, or to take any other action related thereto.
Board of Selectmen

TRANSFER OF FUNDS TO MEET FY 12 APPROPRIATIONS
Article 43 To see what sum the Town will vote to transfer from Free Cash in the treasury to meet the
appropriations for the ensuing Fiscal Year and to authorize the Assessors to use in fixing the rate, pass any vote,
or to take any other action related thereto.
Board of Selectmen
MOVED: That the sum of Forty Thousand Dollars ($
40,
000) be transferred from Free Cash in the
treasury of the Town to the Stabilization Fund.
VOTE: 90
- 0
-
DISCUSSION: The Finance Committee continues to support measures to build reserve in the Stabilization Fund.
Not only is it looked upon favorably by bonding agencies, but it represents a significant reserve in the event of
unforeseen budget events c / alamities. Although in this particularly difficult economic year the proposed transfer of
40,000 is something of a token, the Finance Committee strongly supports this ongoing effort.
APPROVED DISAPPROVED,
APPROPRIATE FUNDS TO MEET EXPENSES FOR NEXT FISCAL YEAR
Article 44 To see what sums of money the town will vote to raise and appropriate, transfer from any available
funds or borrow from any applicable statute to meet the expenses of the next fiscal year for the various Town
Boards, Committees, Departments and Agencies, or to take any other action related thereto.
Board of Selectmen
MOVED: That the various sums of money contained in the printed report of the Finance
Committee be raised and appropriated for the various purposes as are enumerated in the said report,
and that certain funds be transferred to meet such appropriation as set forth below, provided however,
that for the purposes of MGL chapter forty f-our, section thirty -one ( c. 44, §
31) the individual and
separately numbered items within each account are not to be considered as separate votes but rather

as detail provided only for general information purposes, it being the intention of this vote to have a,
