ANNUAL TOWN MEETING APRIL 24, 2006 the Moderator may be appealed to the floor of town meeting in accordance with Article IV, section 4 of the General Bylaws of the Town 3. Two new paragraphs are hereby inserted into Article IV, Section 6, Reconsideration, after the first sentence, as follows: No final vote shall be reconsidered unless notice shall have been given not less than thirty- six week day hours preceding the time a vote is taken on the question: "Shall the final vote taken under article [00] of this warrant be reconsidered?" Whenever a motion is made (and seconded) to reconsider a previously completed final vote, the moderator shall place said motion on the calendar for action as the first order of business at the next session of the town meeting held more than thirty-six week day hours after the time the said motion is made. 4. the existing provisions of Article IV, Section 11, Limitations on Debate, be hereby deleted in their entirety and in their place a new Section 11 be inserted as follows: Section 11. Limitations on Debate (a) Time Limit - Debate may be closed not less than ten minutes following the adoption of a vote to limit debate under an article to a fixed time. (b) End All Debate - All debate may be terminated under an article by the adoption of a vote to "move the previous question" with a plurality of two- thirds, or more of the voters present and voting. The moderator shall refuse to accept a motion to move the previous question when made by a speaker after said speaker has made any remarks concerning the merits of the main question then pending. 5. The existing provisions of Article IV, Section 12, Voting, be hereby deleted in their entirety and a new Section 12 be inserted in their place, substantially as follows: Section 12. Voting When a question is put to the voters the sense of the meeting shall, in the first instance, be determined by the voices of the voters, and the moderator shall announce the vote as it appears to the moderator by the sound. If the moderator is in doubt, the sense of the meeting shall next be determined by a show of hands, and if the moderator is in further doubt the sense of the meeting shall finally be determined by a standing vote. If the announcement of a vote by the moderator is immediately doubted by seven or more voters standing in their place for that purpose, the moderator shall, without debate, determine the vote by ordering a standing vote and shall appoint tellers to make and return the count, as provided in section 15. At the discretion of the town moderator the voice vote, or the show of hands vote, may be eliminated. There is no appeal from the results of a standing vote. If a two thirds, four fifths or nine tenths vote of a town meeting is required by statute, a standing vote shall be taken, and the vote shall be recorded in the records by the town clerk; provided, however, if a two- thirds vote of a town meeting is required by statute, a declaration by the town moderator that the vote constitutes that number shall be sufficient, unless said declaration shall immediately be doubted by seven or more voters as aforesaid. If a four fifths or nine tenths vote of a town meeting is required, the Moderator may choose to see by voice vote whether the vote is unanimous, in which case no standing vote shall be necessary. 6. a new Section 17 is hereby inserted into Article IV, at the end thereof, as follows: Section 17. Motion to Require the Use of Written Ballots Written ballots may be used to determine a vote under any article in the warrant (1) in the discretion of the moderator made in advance of the meeting, or (2) if said use is directed by a majority vote of the town - 81 -

ANNUAL TOWN MEETING APRIL 24, 2006 meeting. Notwithstanding the requirements of Article IV, section 5 of these General Bylaws, whenever the town meeting votes to cause the vote under any article in the warrant to be taken by written ballots the vote shall be suspended for not less than thirty-six week day hours in order to allow time for ballots to be prepared and procedures to be put in place for the conduct of said voting. The town moderator shall place said motion on the calendar for action as the first order of business at the next session of the town meeting held more than thirty-six weekday hours after the time the said motion has been voted. VOTE: 7-0-0 DISCUSSION: The Finance Committee unanimously supports the adoption of this article to codify into the By-laws of the town the procedures that govern the conduct of Town Meeting. We believe that the proposed By-Law changes proposed in this article will result in fair processes for all voters, help ensure continuity from one Moderator to the next, and clearly spell-out for all the rules governing our Town Meetings going-forward. Town By-laws and the General Statutes of the Commonwealth of Massachusetts specify certain procedures to govern the conduct of Town Meeting, but there remain many procedures that remain somewhat arbitrary and solely at the discretion of the Town Moderator. In order to clarify the procedures at Town Meeting, the Finance Committee during ATM 2005 recommended the adoption of "Town Meeting Time", which would have set the rules for the conduct of Town Meeting to be as set in that publication. ATM 2005 rejected that proposal and instead chose to adopt the creation of a committee, appointed by the Moderator, to study the issue and make a recommendation to this Town Meeting. Article 35 represents the product of that committee's work and we recommend its adoption. APPROVED______ DISAPPROVED______ .'-11.1...=-1. FUNDING REQUEST FOR ANNUAL JUL Y 4TH CELEBRATION Article 36 To see if the Town will vote to raise and appropriate, transfer from available funds, or borrow pursuant to any applicable statute, the sum of $15,000 for the purpose of funding the annual July 4th celebration to be held July 3rd and 4th, 2006. Funds to be expended by the Canton Recreation Director, or to take any other action in relation thereto. Board of Selectmen for Canton Recreation Commission MOVED: That the subject matter of this article be postponed indefinitely. VOTE: 7-0-0 DISCUSSION: The proposed event is partially supported by $8,500 contained in the Recreation Department's budget and the Article fails to identify other sources of funds for this event. Although supportive of the intent of this Article, the Finance Committee nonetheless voted unanimously to postpone the Article indefinitely due to lack of sufficient funding. ANNUAL TOWN MEETING APRIL 24, 2006 .,..,. lei. ail' FUNDING REQUEST FOR ANNUAL DOWNTOWN COMMUNITY EVENT Article 37 To see if the Town will vote to raise and appropriate, transfer from available funds, or borrow pursuant to any applicable statute, the sum of $25,000 for the purpose of funding the Annual Downtown Community Event to be held on September 30, 2006. Funds to be expended by the Canton Recreation Director, or to take any other action in relation thereto. Board of Selectmen for Canton Recreation Commission MOVED: That the subject matter of this article be postponed indefinitely. VOTE: 7-0-0 DISCUSSION: The proposed event is not supported by the Recreation Department's budget and the Article fails to identify a source of funds for this event. Although supportive of the intent of this Article, the Finance Committee nonetheless voted unanimously to postpone the Article indefinitely due to lack of funding. APPROVED______ DISAPPROVED______ ., -11.1... =-1: MUNICIPAL POLICE OFFICERS AND FIREFIGHTERS; MAXIMUM AGE RESTRICTION Article 38 To see if the Town will vote to accept the provisions of MGL chapter 31, section 58A, as inserted by chapter 242 of the acts of 2000, providing that applicants for appointment to the Police and Fire Departments be under the age of thirty-two years, or to take any other action in relation thereto. Chaoter 31: Section 58A. Municioal oolice officers and firefiahters. maximum aae restrictions Section 58A. Notwithstanding the provisions of any general or special law to the contrary, in any city, town or district that accepts this section, no person shall be eligible to have his name certified for original appointment to the position of firefighter or police officer is [actually if] such person has reached his thirty-second birthday on the date of the entrance examination. Any veteran shall be allowed to exceed the maximum age provision of this section by the number of years served on active military duty, but in no case shall said candidate for appointment be credited more than four years of active military duty. Board of Selectmen for Fire Deoartment FINANCE COMMITTEE MOTION: MOVED: That the subject matter of this article be deferred to the Board of Selectmen. VOTE: 7-0-0 BOARD OF SELECTMEN MOTION: MOVED: That chapter 31, section 58A of the General Laws of the Commonwealth, as inserted by chapter 242 of the Acts of 2000, be hereby accepted by the town. DISCUSSION: Because we did not, at the time of the writing of this Warrant, have sufficient information to make a recommendation to the town, the Finance Committee has chosen to defer action on this article to the Board of Selectmen. This article pertains to the maximum age an individual can be initially appointed to fill a position as a firefighter or police officer. Currently, no one - 83 -

ANNUAL TOWN MEETING APRIL 24, 2006 older than 32-years old by the date of their entrance exam can be so appointed. Adoption of this article would allow for the crediting of up to 4-years of active military service for an initial applicant. The net result is that a military veteran could subtract one year, up to a maximum of 4, of active military service when seeking initial appointment to the police or fire departments. For example, if an army soldier served one year of active duty in Iraq, then that soldier would be allowed until the age of thirty-three to take the entrance exam for possible original appointment. APPROVED______ DISAPPROVED______ ., -11.1... :a-c ACQUISITION OF PORTION OF LAND FOR STREETSCAPE IMPROVEMENTS Article 39 To see if the Town will vote to authorize the Board of Selectmen to acquire by purchase, gift, or eminent domain taking, the title in fee simple or an easement and the necessary temporary construction easements for a portion of the existing parking area of parcel known as "Walgreen's Property" located at 595, 599, 607, and 611 Washington Street, Canton, MA and shown on Canton Tax Assessor's Map 26, Parcel 183 and more particularly described in the Norfolk District of Land Court Cert. #86243, for the construction of streetscape improvements, including a linear park along Washington Street and further to authorize the Board of Selectmen to vote to raise and appropriate, transfer from available funds, and lor borrow pursuant to any applicable statute, a sum or sums of money to be spent by the Board of Selectmen to to carry out this acquisition and necessary improvements, or to take any other action in relation thereto. Board of Selectmen FINANCE COMMITTEE MOTION: MOVED: That the subject matter of this article be deferred to the Board of Selectmen. VOTE: 7-0-0 BOARD OF SELECTMEN MOTION: MOVED: That the Board of Selectmen be authorized to acquire by purchase, gift, or eminent domain, the title in fee simple or by an easement and the necessary temporary construction easements for a portion of the existing parking area of a parcel known as the "Walgreen's Property" located at 595, 599, 607, and 611 Washington Street, Canton, MA and shown on Canton Tax Assessor's Map 26, Parcel 183 and more particularly described in the Norfolk District of Land Court Cert. #86243, for the construction of streetscape improvements, including a linear park along Washington Street. DISCUSSION: Adoption of this article would permit the Town to enter into negotiations to acquire some land along Washington Street (the "Walgreen's Property") for streetscape improvements. The Board of Selectmen had decided to defer action on this article to Town Meeting, which makes it difficult for this Committee to make a recommendation to the voters one way or another. It was, therefore, our unanimous decision to defer this article to the Board of Selectmen as it is our expectation that they will either withdraw this article or make a motion to that the town approve it essentially as it appears in the Warrant. ANNUAL TOWN MEETING APRIL 24, 2006 .,..,. lel.:lIIr; U TOWN OWNED LAND TO THE REAR OF WALGREEN'S PROPERTY Article 40 To see if the Town will vote to authorize the Board of Selectmen to declare as surplus and then to convey, sell or otherwise lawfully dispose, all or part of the land as shown on Canton Assessor's Map 26, Lot 216, located off of Bolivar Street, near Forge Pond, and to take such other actions as are appropriate thereto. Board of Selectmen FINANCE COMMITTEE MOTION: MOVED: That the subject matter of this article be deferred to the Board of Selectmen. VOTE: 7-0-0 BOARD OF SELECTMEN MOTION: MOVED: That the Board of Selectmen be hereby authorized to declare as surplus and then to convey, sell or otherwise lawfully dispose, all or part of the land as shown on Canton Assessor's Map 26, Lot 216, located off of Bolivar Street, near Forge Pond, and to take such other actions as are appropriate thereto. This authorization is intended to take effect upon passage in Fiscal Year 2006. DISCUSSION: Adoption of this article would permit the Town to declare as surplus and dispose of land behind the "Walgreen's Property" and is a companion article to Article 39. The Board of Selectmen had decided to defer action on this article to Town Meeting, which makes it difficult for this Committee to make a recommendation to the voters one way or another. It was therefore our unanimous decision to defer this article to the Board of Selectmen as it is our expectation that they will either withdraw this article or make a motion to that the town approve it essentially as it appears in the Warrant. APPROVED______ DISAPPROVED______ i".II.I".~1I VOTE TO RESCIND UNUSED BORROWING AUTHORIZATIONS Article 41 To see if the town will vote to rescind unused borrowing authorizations previously voted by the town, or take any other action in connection thereto. ANNUAL TOWN MEETING APRIL 24, 2006 DISCUSSION: This article is a financial "housekeeping" article in which Town Meeting votes to rescind permission to borrow funds when the projects for which borrowing was authorized are completed. It is good financial practice to not have more bonding authorized than is actually needed. Further, bond rating agencies scrutinize the amount of authorized bonding when assessing the Town's overall fiscal health. The Finance Committee unanimously recommends the rescission detailed above. APPROVED______ DISAPPROVED______ i".II.I".~" APPROPRIATE FUNDS TO MEET EXPENSES FOR NEXT FISCAL YEAR Article 42 To see what sums of money the town will vote to raise and appropriate, transfer from any available funds or borrow from any applicable statute to meet the expenses of the next fiscal year for the various Town Boards, Committees, Departments and Agencies, or to take any other action in relation thereto. Board of Selectmen MOVED: That the various sums of money contained in the printed report of the Finance Committee be raised and appropriated for the various purposes as are enumerated in the said report, provided however, that for the purposes of MGL chapter forty-four, section thirty-one (c. 44, ~31) the individual and separately numbered items within each account are not to be considered as separate votes but rather as detail provided only for general information purposes, it being the intention of this vote to have a, so-called, bottom line budget enabling department heads, with the approval of the Finance Director, to shift funds from one subsidiary account to another within the total amount available to the department, office or agency. VOTE: 7-0-0 DISCUSSION: Please see the Finance Committee Report to the Town of Canton for ATM 2006 - at the front of this Warrant - for a discussion of the FY 2007 operating budget. ANNUAL TOWN MEETING APRIL 24, 2006 CAPTlAL PLANNING COMMITTEE (CPC) REPORT 2006 ANNUAL TOWN MEETING The Capital Planning Committee (CPC) submits this report in compliance with the CPC By-Law, which requires the submission of a balanced i-Year and 5-Year Plan to the Town Meeting, allocated between Cash Capital and Debt Capital Expenditures, through the Finance Committee. FUNCTION OF CPC 1. Review spending requests for Fiscal 2007 and make recommendations to the Finance Committee. 2. Develop a balanced i-Year and 5-Year plan based on the funds allocated to support the capital program for FY 2007. 3. Review the 5-Year Plans submitted by the various Town Departments to determine the long term needs for the Capital to become available in the next 5-years. 4. Perform a "due diligence" review of all major projects to determine the scope of work, costs estimates, space needs, contingencies and all Owner's cost are included in the project cost estimate. 5. Coordinate all the above with elected and appointed Town officials to bring the plans forward for funding approval. ALLOCATION OF FUNDS The Capital Program is predicated on having 6% of Recurring Revenues available to meet our ongoing capital needs. The CPC, recognizing the need to balance the overall Town budget during the last two years, so that not to eliminate essential services, reduced the 6% set aside. In FY 2006 the amount was 4.6% and in FY 2007 it was 4.8%. If the 6% had been maintained, the Town would have had another $1.1 million in capital available for needed capital projects. The CPC is greatly concerned about this trend of taking capital funds to subsidize the operating budget. SUMMARY OF FISCAL 2007 CAPITAL SPENDING Cash Capital - Tax Levy Supported Debt Capital - Tax Levy Supported $ 326,000 2 651 000 Total Tax Levy Supported Cash Capital - Enterprise Funds Debt Capital - Enterprise Funds $2 977 000 $ 134,000 2 900 000 $3 034 000 Total Enterprise Funds GRAND TOTAL - CAPITAL SPENDING ~ - 90-

ANNUAL TOWN MEETING APRIL 24, 2006 FUTURE CAPITAL PROJECTS Many of the major capital projects facing the Town last year are still with us in FY 2007. Some of the more critical ones are listed below and appear on the 5-Year plans. 1. Filtration Facility-Iron and Manganese Removal (Cost $10,000) - This is a Water Enterprise project which when completed will allow the Town to pump water from our Town wells and make us less dependent on MWRA water at higher costs. The savings over the long run should offset most of the cost of this project depending on the switch over and the usage of MWRA Water. 2. Green Lodge Interceptor Sewer (Cost $8,000,000) - This is a Sewer Enterprise project and is needed to replace an undersized line with insufficient flow capacity in an environmental! ecology-sensitive area. 3. Relocate of DPW Garage and School Maintenance Facilities (Cost $6 million to $8 million) - This project which was originally going to be a joint venture between the Municipal and School Departments has changed from last year. The School has decided to build a facility of its own. Whatever the decision this would have to be a Proposition 2V2 Debt Exclusion Override. 4. Pavement Management Program (Cost $12,000,000) - Although mentioned in last year's capital report to the Town Meeting, it was not in the 5-Year Capital Plan, as the report has just been completed. A project of this magnitude should probably be broken down into phases and handled on several debt authorizations. Roads and sidewalks are an important part of our infrastructure and should not be neglected or the cost will rise in the future. Because of the size of this project, it will have to be handled by a Proposition 2 V2 Override. RECOGNITIONS The CPC again express its thanks to Jim Murgia, Finance Director, and Ellen Arsenault of the Finance Department for their key role in putting the Capital Plan together. Our thanks to Dr. Irene Sherry Kaplan, School Superintendent, and Ken Leon, School Business Administrator, for preparing the school Capital Plans. Our thanks to Bill Friel, Town Administrator, and his staff. We also thank all elected and appointed officials who help in any way with the preparation of this report. A thank you also to the Finance Committee for their long and hard work. FOR THE COMMITTEE: Gene Manning, Vice Chairman, Joseph V. Croce, Secretary, Leonard Barnett, Caryn Feldman, Jan LeDonne and Herbert Silverman. Respectfully submitted, James R. Magee Chairman - 91 -
