e. The proposed development area shall contain a minimum of five percent (5%) civic use
f. The proposed development area shall contain at least twenty (20%) of the site as
outdoor amenity space accessible to the public.
4. Height Bonuses: Upon petition by an applicant for a C-MUD Special Permit, the Zoning Board may allow
for maximum building heights to be fifty (50) feet. The Zoning Board shall not allow for buildings to
have more than four and a half (4.5) stories above the street level grade. Applicants may increase
the overall density of their project to meet these height limitation increases provided that the
applicant complies with all other requirements of this bylaw including, without limitation, those for
parking, design and other dimensional requirements.
5. Frontage: As a part of the C-MUD Special Permit application, the Zoning Board may authorize frontage as
low as forty (40) feet.
6. Additional Design Standards: In addition to those design standards listed in Section 6.9.7, 6.9.8, 6.9.9,
and 6.9.10 of this bylaw, applications for a C-MUD Special Permit shall also meet the following
standards:
a. Buildings: At least sixty (60%) of the first floor of a newly constructed building façade
(non-residential or mixed use only) shall be transparent, where it faces the main street
or as determined by the Zoning Board of Appeals.
b. Site Design: Buildings shall be arranged in a manner that optimizes the ability of
residents and consumers to access public spaces and pedestrian amenities. Buildings
shall be oriented toward each other in a way that minimized conflicts between
pedestrians and automobiles. Open space provided pursuant to 6.9.10, of this bylaw
shall be designed as a public gathering space. Arcades, courtyards, parks, greens or
other common areas shall be located in a manner that connects buildings to each other
and to public sidewalks without interruption from parking areas or automobile travel
lanes to the greatest extent possible. Features that may be used to create open space
areas acceptable to the Zoning Board may include, without limitation, fixed benches,
fixed tables, fountains, pathways, bikeways, bicycle racks, period lighting, shade trees,
perennial gardens, picnic areas, and/or trash receptacles.
c. Open Space Ownership and Maintenance: As a condition of a Special Permit, the Zoning
Board shall require an applicant to document ownership of open space within the
proposed development and to provide a detailed maintenance schedule to ensure the
long-term care of open space areas.
7. Application Process and Requirements: Applicants for a C-MUD Special Permit shall comply with the
Special Permit Procedures outlined in Section 10.4 and shall provide all applicable information for a
full site plan review pursuant to Section 10.5.
6.9.14 Height and Density Bonuses: Upon petition by the applicant for a C-MUD Special Permit, or if certain
public benefit improvements are made by the applicant (see below), the Zoning Board may allow for a
maximum building height to be fifty (50) feet. The Zoning Board shall not allow for buildings to have more
than four and a half (4.5) stories above the average grade plane. Applicants may increase the overall
density of their project to meet these height limitation increases provided that the applicant complies with
all other requirements of this bylaw including, without limitation, those for parking, design and other
dimensional requirements.
Public benefit improvements that qualify an applicant for a height and/or density bonus, by special permit:
1. Upland land acquisition or donation to the Town or a designated non-profit agency for the purpose of
publicly accessible active or passive recreation in desirable locations within the C-MUD District or
surrounding area.
2. Additional sidewalks and pathways along a public way, which connect to another public sidewalk or
pathway, beyond what is required for the development.
3. Additional streetscape improvements such as street trees and furnishings on public streets or contribution
of land suitable for a public way or public streetscape improvements, beyond what is required for the
development.
4. Public parking spaces and publicly-accessible parking facilities.
5. Additional affordable housing units above the number required by Section 8.2.
6.9.15 Approval of Density Bonus Improvements. All public benefit improvements used for the density bonus
shall have been recommended in planning documents approved by the Zoning Board. In order to make this
determination, the following are required:
1. The applicant shall provide the Planning Board and Zoning Board of Appeals with a written description of
the intended improvements, the public benefit provided, significance to the Town, provision for
81Source page 82
ANNUAL TOWN MEETING - MAY 9, 2022
maintenance if required, applicant’s cost estimates, and a sketch plan showing the location and type, size
and extent of improvements.
2. The Zoning Board of Appeals may require a bond to cover the cost of any improvements that will be
constructed, or a binding agreement approved by Town Counsel, to remain in place until the
improvements are completed to the satisfaction of the Town.
3. A specific time frame for the completion of all required off-site improvements shall be incorporated as a
condition of approval of the Planning Board.
4. The applicant shall provide a list of all permits and approvals required relating to any proposed public
benefit(s) with the application. These approvals shall be obtained prior to approval of the development,
unless an exception for good cause is explicitly authorized by the Planning Board.
5. The Zoning Board of Appeals shall be under no obligation to grant such density bonus and may determine,
in its sole discretion, whether the offered improvements are sufficient in nature, scope, cost or otherwise,
to justify such bonus. The offer and commitment by an applicant to provide all or any number of the
above enumerated examples does not, in and of itself, justify or require the Zoning Board to grant such
density bonus.
6.9.15 Severability. If any provision of this bylaw is held invalid by a court of competent jurisdiction, the
remainder of the bylaw shall not be affected thereby.
or to take any other action related thereto.

PLANNING BOARD MOTON:
MOVED: That the Zoning By-law be amended by adding Section 6.9, General Provisions for the
Commercial Mixed-Use District, as set forth in the 2022 Annual Town Meeting Warrant.
PLANNING BOARD VOTE: 4-0
FINANCE COMMITTEE RECOMMENDATION:
The Finance Committee recommends that the motion presented by the Planning Board to Town Meeting
for Article 37 as printed in the warrant be adopted.
FINANCE COMMITTEE VOTE: 8-0-0
PLANNING BOARD DISCUSSION: On February 16th, 2022, the Planning Board voted unanimously with
four (4) members in favor and none opposed, to recommend that this Article be adopted at Town Meeting with no
changes in the motion, that the applicable language be added directly into this section of the by-laws. The hearing
was closed on March 2nd, 2022, with no changes to the vote or motion. The goal of this article is to establish
general provisions for a newly created Commercial Mixed Use District. This is consistent with the goals and
recommendations stated in the Route 138 Economic Development Study (2020) and the Town’s Master Plan
(2020).
FINANCE DISCUSSION: The Finance Committee unanimously supports the motion of the Planning Board
to recommend the creation of a Commercial Mixed-Use District on Route 138 by adding Zoning By-law Section 6.9
that would establish the provisions for this zoning district as described in the article. Mixed-use provisions would
allow a mix of residential and commercial properties on those parcels that are primarily in two sections of the
Route 138 corridor (a northern area near Randolph Street and a southern area near the Stoughton border). The
intent of these changes is to begin a transformation of that segment of the Route 138 corridor into a vibrant
destination for commerce and services (such as restaurants, entertainment, and cultural venues) with a diverse
range of housing options for those who work along the corridor or who will choose to live there as a result of these
changes. These zoning changes have been recommended by both the Town’s Master Plan (adopted in 2020) and
the Route 138 Economic Development Study (completed in 2020). There has been carefully study to retain
Canton’s Route 138 economic engine while providing transitional zones for these added uses and opportunities for
revitalizing and improving the corridor. Approving the creation of the Route 138 related mixed-use zoning district
and pursuing its related development opportunities may also make the corridor more eligible for certain state
82Source page 83
ANNUAL TOWN MEETING - MAY 9, 2022
grants. One example in the Town’s effort to obtain MassDevelopment technical assistance to help it explore the
establishment of a future District Improvement Financing (DIF) district that could allow for more public-private
partnership opportunities to transform Route 138 into a more vibrant and marketable area for both revenue
generation and economic prosperity. Many standards for building, site, signage, and outdoor amenities have been
included to ensure that the future development in this new district is consistent with the appropriate scale and
aesthetics to fulfil the intent of this zoning change and to meet community expectations. In addition, provisions
exist to encourage sustainability and access to housing. The district standards and regulations will also help
improve pedestrian and multi-modal options within the corridor. Certain public benefit improvements can also lead
to limited height or density bonuses by special permit application to help encourage developers to assist the public
interest. As Route 138 is already a major revenue source for Canton, these zoning improvements will help the
town move toward maximizing the corridor’s revenue potential while also providing residents with new destination
options and housing options in the coming years. Acting to transform Route 138 zoning will also likely strengthen
the Town’s position in working with Massachusetts Department of Transportation regarding future roadway
improvements by demonstrating a strong Town commitment and vison for the corridor.

AMEND ZONING BY-LAW SECTION 2.0 DISTRICTS
Article 38 To see if the Town will vote to amend Zoning By-law Section 2.0 Districts, as follows:
1.That Zoning Bylaw Section 2.1 “Establishment” be amended to add reference to the Commercial Mixed Use
District under the category of “Other Districts”.
2.That Zoning Bylaw Section 2.2 “Overlay and Special Districts” be amended to remove reference to the Economic
Opportunity Overlay District (EEOD), Mixed Use Overlay District (MUOD), Hotel Overlay District (HOD), and Village
Housing Overlay District (VHOD).
Or to take any other action related thereto.
Select Board for Planning Board
PLANNING BOARD MOTION:
MOVED: That Zoning By-law Section 2.0 Districts be amended as set forth in the 2022 Annual
Town Meeting Warrant.
PLANNING BOARD VOTE: 4-0
FINANCE COMMITTEE RECOMMENDATION:
The Finance Committee recommends that the motion presented by the Planning Board to Town Meeting
for Article 38 as printed in the warrant be adopted.
The hearing
was closed on March 2nd, 2022, with no changes to the motion. The Commercial Mixed Use District is proposed to
be created at the 2022 annual town meeting. The Economic Opportunity Overlay District (EEOD) and Mixed Use
Overlay District (MUOD) are proposed to be eliminated at the 2022 annual town meeting. The Hotel Overlay
District (HOD) and Village Housing Overlay District (VHOD) were already eliminated at previous town meetings.
FINANCE DISCUSSION: The Finance Committee unanimously supports the motion of the Planning Board
to recommend the amendment of the districts mentioned in Section 2 of the Town’s Zoning By-laws as described in
the article. It would remove obsolete districts that have already been eliminated at previous Annual Town Meetings
but are still included in the section (Hotel Overlay District and Village Housing Overlay District). The proposed
amendments would also remove districts that are proposed for elimination at the 2022 Annual Town Meeting
(Economic Opportunity Overlay District [Article 35] and Mixed Use Overlay District [Article 40]). Finally, the
proposed change would add the Commercial Mixed-Use District that will be considered at this Annual Town Meeting
as Article 37. This is a housekeeping amendment to bring this section of the Zoning By-laws up to date and
therefore preserve the accuracy of the By-laws.

PLANNING BOARD VOTE: 4-0
FINANCE COMMITTEE RECOMMENDATION:
The Finance Committee recommends that the motion presented by the Planning Board to Town Meeting
for Article 39 as printed in the warrant be adopted.
FINANCE COMMITTEE VOTE: 8-0-0
PLANNING BOARD DISCUSSION: On February 16th, 2022, the Planning Board voted unanimously with
four (4) members in favor and none opposed, to recommend that this Article be adopted at Town Meeting with one
correction in the motion, that the applicable language be added directly into this section of the by-laws. The
hearing was closed on March 2nd, 2022, with no changes to the vote and one small clarification in the motion, that
the minimum lot size for Limited Industrial districts is not changing and was incorrectly bolded and underlined. The
Commercial Mixed Used District (newly formed), Limited Industrial B District (existing), and Limited Industrial
District C (existing) are not currently in the table of maximum height requirements. The proposed changes update
the table of height requirements to include existing and new zoning districts and reflect recommendations in the
2018-2020 Canton Route 138 Economic Development Study.
FINANCE DISCUSSION: The Finance Committee unanimously supports the motion of the Planning Board
to recommend amendments to Section 4.0 of the Zoning By-laws as described in the article. These amendments
would create dimensional requirements and maximum height restrictions for the proposed Commercial Mixed-Use
District (Article 37) and add them for certain existing Limited Industrial districts in ways that help implement the
recommendations of the Canton Route 138 Economic Development Study that was conducted between 2018 and
2020.

AMEND ZONING BY-LAW SECTION 9.4 TO REMOVE THE MIXED USE OVERLAY DISTRICT (MUOD)
Article 40 To see if the Town will vote to amend the Zoning By-laws:

And
2. By relabeling Section 9.4 as not used
Or to take any other action related thereto.

2. By relabeling Section 9.4 as not used.
PLANNING BOARD VOTE: 4-0
FINANCE COMMITTEE RECOMMENDATION:
The Finance Committee recommends that the motion presented by the Planning Board to Town Meeting
for Article 40 as printed in the warrant be adopted.
The hearing
was closed on March 2nd, 2022, with no changes to the motion. The purpose of this warrant article is to update
Canton’s special districts. The current Mixed Use Overlay District is proposed to be rezoned as the Commercial
Mixed Use District (C-MU) at Town Meeting 2022, making the Mixed Use Overlay District unnecessary.
FINANCE DISCUSSION: The Finance Committee unanimously supports the motion of the Planning Board
to recommend the removal of the Mixed Use Overlay District (MUOD). Article 37 would create a Commercial
Mixed-Use District that if adopted will include the area currently zoned under the MUOD. Consequently, this
overlay district for mixed use would become unnecessary, as mixed use would now become the underlying zoning
of the parcel area affected.

PLANNING BOARD VOTE: 3-1
FINANCE COMMITTEE RECOMMENDATION:
The Finance Committee recommends that the motion presented by the Planning Board to Town Meeting
for Article 41 as printed in the warrant be adopted.
FINANCE COMMITTEE VOTE: 8-0-0
PLANNING BOARD DISCUSSION: On February 16th, 2022, the Planning Board voted with three (3)
members in favor and one (1) opposed, to recommend that this Article be adopted at Town Meeting that the
applicable language be added directly into this section of the by-laws. The hearing was closed on March 2nd, 2022,
with no changes to the vote and one addition in the motion that a line for self-storage units be added. Additionally,
one zoning change, approved in 2021 has been added in the motion (Article 36 from ATM 2021 that removed the
word “not” from Section 3.1.4 Section J Accessory Uses related to “The keeping overnight of not more than five
motor vehicles”.) This is a housekeeping zoning article to fill in the blank columns in the Table of Use chart. At the
2017 Annual Town meeting the Town adopted Zoning Bylaws Section 6.8 General Provisions for the Limited
Industrial (C) District and designated the Limited Industrial (C) district on the zoning map. In Section 6.8 it states
that uses allowed by right in either the Limited Industrial or Limited Industrial (B) Districts shall be allowed by right
in the Limited Industrial (C) district. Any uses allowed as a Special Permit within the Limited Industrial or Limited
Industrial (B) district will also be allowed as a special permit in the Limited Industrial (C) district. This also fills in
the blank uses for the newly formed Commercial Mixed Use District. Finally, it updates other uses related to the
Route 138 Economic Development Study (2020) recommendations or as related to structured parking or electric
vehicle charging stations.
FINANCE DISCUSSION: The Finance Committee unanimously supports the motion of the Planning Board
to recommend the amending of Zoning By-laws Section 3.1.4 regarding Table of Use Regulations as described in
the article. These changes would update the tables across a wide range of uses to reflect the creation of the
Commercial Mixed-Use Zone that is proposed in Article 37 of this year’s Annual Town Meeting Warrant. The
proposed amendments in this article would also complete the tables for Limited Industrial (C) uses. The tables will
also be updated to reflect proposed changes to structured parking regulations (Article 34) while also updating the
table regarding electric vehicle charging stations, which is also part of some of this year’s proposed zoning
amendments. This housekeeping article will allow these tables to accurately reflect the current zoning use
regulations including those changes proposed at this year’s Annual Town Meeting.

ARTICLE 42
AMEND ZONING BY-LAWS SECTION 11.0 DEFINITIONS
Article 42 To see if the Town will vote to amend Zoning By-Laws Section 11.0 as follows, with new word

such as a terrace, community garden, food and entertainment, or other outdoor amenities.
Transparency: The amount of transparent space that occupies a building façade including standard street-level
windows and doorway windows.
Upland: Land without a wet area and not subject to flooding.
Wet Areas or Wetlands: All land subject to the provisions of Massachusetts G.L. c. 131, ss. 40 and 40A and/or
the Town’s Wetlands By-law.
2. To add the following definitions related to Section 8.1 Accessory Apartment in Single Family Dwelling:
Accessory Family Apartment: A secondary dwelling unit located within a detached single-family dwelling

Boarder: A boarder stays in another person’s home paying rent with meals provided by the landlord.
Lodger: A lodger stays at another person’s home and pays rent but is generally not supplied with meals.

FINANCE COMMITTEE RECOMMENDATION:
The Finance Committee recommends that the motion presented by the Planning Board to Town Meeting
for Article 42 as printed in the warrant be adopted.
FINANCE COMMITTEE VOTE: 8-0-0
PLANNING BOARD DISCUSSION: On February 16th, 2022, the Planning Board voted unanimously with
four (4) members in favor and none opposed, to recommend that this Article be adopted at Town Meeting, that the
applicable language be added directly into this section of the by-laws. The hearing was closed on March 2nd, 2022,
with one addition to the motion, that a definition for “self-service storage facility” be added, as defined in
Massachusetts General Laws Chapters 105A, “any real property used for renting or leasing individual storage
spaces in which the occupants themselves customarily store and remove their own personal property on a ‘self-
service’ basis.”. The goal of this article is to include definitions related to the new Commercial Mixed-Use Overlay
District, to clarify definitions related to Accessory Apartments, and to include definitions related to electric vehicle
charging stations. This is consistent with recommendations in the Canton Master Plan update (2020) goals, and the
Route 138 Economic Development Study (2018).

ANNUAL TOWN MEETING - MAY 9, 2022
FINANCE DISCUSSION: The Finance Committee unanimously supports the motion of the Planning Board
to recommend the amending of Zoning By-laws Section 11.0 regarding definitions as described in the article. This
amendment to the definitions in the by-laws will reflect the creation of the proposed Commercial Mixed-Use Zone
that would be replacing the Mixed Use Overlay District. These changes will also better define accessory apartments
and include a definition for electric vehicle charging stations in ways that are consistent with the recommendations
of the Route 138 Economic Development Study that was completed between 2018 and 2020. It is also supported
by the Town Master Plan that was adopted in 2020. Ensuring that there are reasonably comprehensive definitions
in the Zoning By-laws will help make the document clear, effective, and user friendly.
