Security
Canton's full-faith-and-credit pledge, subject to Proposition 2 1/2 limitations, secures the bonds
and notes. The town voted to exclude debt service on the notes from property tax limitations. We
rate the limited-tax GO debt on par with Canton's general creditworthiness because the ad
valorem tax is not derived from a measurably narrower property tax base and there are no
resource fungibility limitations, supporting our view of its ability and willingness to pay debt
service.
The short-term rating reflects Canton's high investment-grade long-term rating and low market-
risk profile. In our view, and pursuant to our BAN criteria, we have assessed the town's market
risk as low due to the town's strong market access, information availability, and takeout
authorization.
The 2026 municipal purpose loan proceeds will provide financing for the town's capital needs,
including water system improvements, emergency and public waste apparatuses, and other

The BANs will provide initial financing for the construction of its new Galvin Middle School campus. The project was approved by voters in a December 2024 referendum for a total project authorization of $241 million; the town expects to receive significant reimbursement for eligible project costs from the Massachusetts School Building Authority, bringing its local share to about $167 million. The project authorization and associated debt service exemption from Proposition 2 ½ revenue limitations passed with 74% voter approval, indicating strong community support for the project. Credit highlights The rating reflects our view of the town's long history of surplus budgetary results, robust reserve position, very strong income and gross county product (GCP) metrics reflected in the town's participation in the Boston metropolitan area, strong financial practices with some formalized policies, and growing debt burden. Although we view its debt burden as manageable, we will monitor its influence on the city's financial performance, given its likely escalating debt service costs and budget growth, which we believe will not be sources of credit pressure given the robust planning and strong flexibility that the town expects to maintain through the debt service period. The town's stable operating performance has been supported by strong taxbase growth during the last several years, prompted by strong housing demand in this largely residential Boston suburb. Town management has consistently approached budgeting conservatively, particularly around revenues, which are routinely outperformed, allowing for free cash at the end of the year that the city utilizes for its capital needs. With this approach, the town has been able to avoid drawdowns on reserve balances, which have grown by nearly $2 million annually during the last few years. The town expects reserves will remain generally stable but plans to use excess cash to pay interest on the BANs and 60% of debt service on the permanent bonds it expects to issue in 2030 to finance construction for the middle school. We believe that the town's demonstrated history and projected future surplus operations will allow the town to carry out its capital improvement plan and maintain its strong reserve level without overleveraging its tax base. For fiscal 2026, the town expects an approximately $4 million surplus, which will be added to fund balances. The town projects a similarly strong performance for fiscal 2027. We view these strong trends and reserve fund balances as offsets to the town's rising debt burden, which we believe the town is thoughtfully managing. We do not anticipate the debt burden becoming a source of material credit pressure during the next two years. The 'AAA' rating further reflects our opinion of the town's: • Growing tax base and participation in the greater Boston regional economy, which contributes to its above-average household incomes. Canton is a residential suburb in Norfolk County, and the county's economic output and per capita incomes are higher than the national averages. Canton's local incomes are on par with both the county's average and similarly rated state peers. • Extended history of positive operating results dating back at least a decade, which has contributed to the town's accumulation of very strong reserves. Through its conservative budgeting practices and regular attention to capital needs, it expects to continue these strong results without drawing materially on reserves. • Policies and procedures that reflect forward-looking financial planning, highlighted by formal five-year budget forecasting, conservative budgeting that pulls back what the town expects in annual revenue to ensure balance and free cash levels that can be used for capital needs; and www.spglobal.com/ratingsdirect July 9, 2026 2

Canton, MA Series 2026 GO Municipal Purpose Bonds Assigned 'AAA' Rating, Bond Anticipation Notes Rated 'SP-1+' a five-year capital improvement plan incorporated in the budget. While the town does not have a formal debt management policy, its practices align with state guidelines. It also maintains a formal fund balance policy that requires reserves to be at least 15% of the general fund budget. We view the district's cyber risk mitigation measures as consistent with our view of its credit fundamentals. • Manageable debt service costs with elevated per capita metrics. The middle school is the town's largest project, although Canton has plans to issue about $30 million in additional debt for capital and water-sewer improvements during the two-year outlook horizon. We view pensions and its other postemployment benefit (OPEB) obligation as somewhat elevated on a per capita basis but manageable overall. • Physical climate risk is a partially mitigated credit factor, as management proactively addresses flood and draining vulnerabilities through regular dam inspections, compliance with safety requirements, and emergency action plans to help control flooding and high intensity storms. These efforts reduce the risk of unanticipated emergency expenditures and support long-term fiscal credit stability. • Predictable operating framework with some statutory flexibility to raise local-source revenue for operations despite commonwealth limits on property tax levy growth. For more information on our assessment of Massachusetts municipalities, see "Institutional Framework Assessment: Massachusetts Local Governments," Sept. 9, 2024. Rating above the sovereign We rate Canton higher than the nation under our criteria "Ratings Above The Sovereign-- Corporate And Government Ratings: Methodology And Assumptions," criteria (Nov. 19, 2013) because we believe the town can maintain better credit characteristics than the nation in a stress scenario based on its predominantly locally derived revenue base and our view that pledged revenue supporting bond debt service is at limited risk of negative sovereign intervention. Outlook The stable outlook reflects our view of Canton's positive financial performance and healthy reserve levels, which we expect will continue and are further supported by comprehensive long- term planning and a robust property tax base despite its growing debt profile due to plans for future long-term debt issuances. Downside scenario We could lower the rating if, due to the town falling into budgetary imbalance or due to capital costs, reserves materially decline to levels no longer comparable with those of its similarly rated peers, particularly given the town's elevated debt profile. The ratings appearing below the new issues represent an aggregation of debt issues (ASID) associated with related maturities. The maturities similarly reflect our
opinion about the creditworthiness of the U.S. Public Finance obligor's legal pledge for payment of the financial obligation. Nevertheless, these maturities may have
different credit ratings than the rating presented next to the ASID depending on whether or not additional legal pledge(s) support the specific maturity's payment
obligation, such as credit enhancement, as a result of defeasance, or other factors.
